T-KEL DISTRIBUTION ARTIST TERMS & CONDITIONS
Effective Date: 18 September 2026
Last Updated: 18 September 2026
These T-KEL Distribution Artist Terms & Conditions (“Artist Terms”) govern participation in the music distribution services provided by Terriken Entertainment Limited (T-KEL).
By applying for T-KEL Distribution, creating a T-KEL Artist Account, submitting music for distribution, or using T-KEL Distribution services, you agree to these Artist Terms.
1. T-KEL Distribution
T-KEL Distribution provides services intended to assist artists with the preparation, submission and distribution of music releases to selected digital music platforms and other approved channels.
Distribution availability may depend on the requirements and decisions of third-party platforms and distributors.
T-KEL does not guarantee that every release will be accepted, published or maintained by every platform.
2. Eligibility
You must provide accurate information when applying for or using T-KEL Distribution.
T-KEL may require additional information or documentation where reasonably necessary to verify an artist, release or rights ownership.
T-KEL may reject an application or release where the applicant or material does not meet T-KEL's requirements.
3. Artist Account
Artists are responsible for maintaining the confidentiality of their account credentials.
You must not allow another person to use your account in a way that creates unauthorized access or inaccurate reporting.
You are responsible for activity carried out through your account unless you promptly notify T-KEL of unauthorized access.
4. Application and Approval
Submitting a Distribution application does not guarantee approval.
T-KEL Management may review an application and mark it as Pending, Approved or Rejected.
Where approval is required, an applicant must receive approval before proceeding with account or distribution-related steps designated by T-KEL.
5. Application/Form Fee
Where applicable, T-KEL may charge a ₦5,000 application/form fee.
The applicable fee will be displayed before payment.
The fee relates to the application/form process and does not by itself guarantee acceptance of an artist, approval of a release, placement on any particular music platform, or a specific distribution outcome.
Any refund or non-refund condition applicable to a particular payment should be displayed to the user before payment.
6. Ownership and Rights
You must have the necessary rights, permissions, licenses and authority to submit every recording, composition, artwork, name, image, lyric, sample, feature, remix and other material included in a release.
You must not submit music that you do not have the legal right to distribute.
You remain responsible for resolving ownership disputes concerning material you submit.
7. Samples, Features and Third-Party Material
If your music contains samples, interpolations, beats, instrumentals, recordings, performances, artwork or other third-party material, you are responsible for obtaining all necessary permissions, licenses and clearances before submission.
If another artist, producer, songwriter, performer, label or rights holder has an interest in the material, you are responsible for ensuring that the necessary permissions or agreements are in place.
8. Artist Authorization to Distribute
When you submit a release to T-KEL Distribution, you authorize T-KEL, to the extent necessary to provide the requested distribution service, to submit and make your approved content available through relevant third-party music platforms and distribution channels.
This authorization is for distribution and related administration of the submitted content and does not transfer ownership of your copyright to T-KEL unless a separate written agreement expressly states otherwise.
9. Release Information
Artists must provide accurate:
- artist name;
- track title;
- album or EP title;
- songwriter/composer information;
- producer information where applicable;
- featured artist information;
- genre and language information;
- release date;
- artwork;
- copyright information;
- contributor information; and
- other required metadata.
T-KEL may request corrections before a release is submitted.
10. Artwork and Content Requirements
Submitted artwork and other release materials must comply with applicable laws and the requirements of the relevant music platforms.
T-KEL may reject or request changes to artwork or other materials that are misleading, infringing, unlawful, technically unsuitable or inconsistent with platform requirements.
11. Content Standards
Artists must not knowingly submit content that:
- infringes copyright or other intellectual property rights;
- impersonates another artist;
- contains fraudulent metadata;
- uses unauthorized samples or recordings;
- artificially manipulates streams or engagement;
- engages in fraudulent activity;
- contains unlawful material; or
- violates the rules of a receiving platform.
Additional content restrictions may apply depending on the receiving platform.
12. Distribution Platforms
T-KEL may submit releases to third-party digital music services selected or supported by T-KEL.
T-KEL does not control the independent decisions, policies, technical systems or availability of third-party platforms.
A platform may reject, remove, delay, restrict or otherwise modify the availability of a release according to its own rules.
13. Release Timing
Artists may provide a requested release date, but T-KEL cannot guarantee that a third-party platform will publish a release on that exact date.
Artists should submit releases sufficiently early to allow time for review, corrections and third-party processing.
14. Royalties and Revenue
Where T-KEL Distribution receives revenue or royalty information relating to an artist's release, T-KEL may provide reporting or account information according to the distribution arrangement applicable to that artist.
Any applicable T-KEL distribution fee, commission, revenue share, payment threshold or payment schedule must be communicated to the artist through the applicable service terms or agreement.
T-KEL does not guarantee a specific amount of revenue or streams.
15. Royalty Information
Royalty and platform reports may be subject to delays, corrections, adjustments or changes from third-party platforms.
Where a third-party platform revises or reverses reported revenue, the corresponding artist account information may also be adjusted.
16. Taxes
Artists are responsible for understanding and complying with their own applicable tax obligations.
T-KEL may request information reasonably necessary for payment administration or legal compliance.
17. Copyright Complaints and Takedowns
If T-KEL receives a credible copyright complaint, rights dispute, legal notice or platform enforcement action concerning a release, T-KEL may investigate the matter and may temporarily restrict, suspend or remove the affected release where reasonably necessary.
T-KEL may request evidence of ownership, authorization, licenses or other documentation.
Artists must cooperate with reasonable investigations concerning rights ownership.
18. Fraud and Artificial Activity
Artists must not use artificial streaming, bots, click manipulation, fraudulent playlists, misleading metadata, purchased fraudulent engagement or other methods intended to manipulate platform performance or revenue.
Where T-KEL or a third-party platform identifies suspected fraudulent activity, T-KEL may suspend affected releases, withhold processing while an investigation occurs, request information, or terminate distribution services where appropriate.
19. Removal of Content
T-KEL may remove or request removal of a release where:
- the artist requests removal;
- a rights dispute arises;
- the content violates these Artist Terms;
- the content violates a third-party platform's rules;
- the content is unlawful;
- fraudulent activity is suspected or established; or
- removal is reasonably necessary to protect T-KEL, the artist, a rights holder or a third party.
Removal timing may depend on the relevant third-party platform.
20. Artist Withdrawal
An artist may request withdrawal of a release from T-KEL Distribution.
The artist should provide sufficient information to identify the release.
Withdrawal from T-KEL does not necessarily mean that a release will disappear immediately from every third-party platform.
21. Account Suspension or Termination
T-KEL may suspend or terminate an artist account or distribution relationship where the artist:
- violates these Artist Terms;
- submits unauthorized or infringing content;
- engages in fraud;
- provides materially false information;
- abuses the distribution service;
- compromises platform security; or
- engages in conduct that creates significant legal or operational risk.
Where appropriate, T-KEL may provide notice and an opportunity to resolve the issue.
22. Effect of Termination
Termination does not transfer ownership of an artist's intellectual property to T-KEL.
However, obligations relating to previously submitted releases, outstanding disputes, payment adjustments, confidentiality, rights and liabilities may continue where applicable.
23. No Guarantee of Success
T-KEL does not guarantee:
- a specific number of streams;
- playlist placement;
- chart placement;
- popularity;
- income;
- acceptance by every digital music platform;
- a particular release date; or
- commercial success.
Distribution provides access to a distribution service; it does not guarantee a particular artistic or commercial outcome.
24. Changes to Distribution Services
T-KEL may modify, suspend or discontinue aspects of its Distribution service where reasonably necessary, including changes required by third-party platforms, technology providers, legal requirements or business operations.
Material changes to these Artist Terms may be communicated through the Website or other appropriate channels.
25. Confidentiality
T-KEL and the artist should treat non-public business, account and release information received through the Distribution relationship as confidential, except where disclosure is required by law, necessary to provide the service, or authorized by the relevant party.
26. Limitation of Liability
To the extent permitted by applicable law, T-KEL is not responsible for losses resulting solely from third-party platform decisions, delays, outages, policy changes, unauthorized access caused by the artist's failure to protect credentials, or other circumstances outside T-KEL's reasonable control.
Nothing in these Artist Terms excludes liability that cannot lawfully be excluded or limited.
27. Governing Law
These Artist Terms shall be interpreted in accordance with applicable laws of the Federal Republic of Nigeria.
Disputes should first be raised with T-KEL so that the parties may attempt to resolve the matter informally before pursuing remedies available under applicable law.
28. Acceptance
By checking the acceptance box, creating a T-KEL Artist Account, submitting music, or using T-KEL Distribution services, you acknowledge that you have read, understood and agreed to these Artist Terms.
